STANCE USER PRODUCT TRIAL

Terms of Service

RevelFT, Inc. | Stance Trial

IMPORTANT — PLEASE READ CAREFULLY. By accessing or using the Stance trial product, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use Stance.

1. Parties and Scope

These Terms constitute a binding agreement between you ("User" or "you") and RevelFT, Inc., a Delaware corporation ("Company," "we," or "us"), governing your access to and use of the Stance financial wellness product during the trial period (the "Service").

These Terms apply solely to the trial version of the Service. Enterprise, B2B, or regulated-use arrangements require a separate written agreement with the Company.

2. Permitted Use; Informational Purpose Only

2.1 Intended Purpose

Stance is designed to help individual consumers understand and improve their personal financial health through budgeting tools, financial wellness assessments, educational content, and self-directed insights. The Service is intended for personal, non-commercial, informational, and educational use only.

2.2 Not a Consumer Report; Not a Consumer Reporting Agency

IMPORTANT: The following restrictions are a material condition of your access to the Service.

Stance outputs, scores, assessments, and any related data (collectively, "Service Outputs") are:

You agree that you will not use, share, or rely on any Service Output, directly or indirectly, to make or inform any decision regarding:

The Company does not operate as a consumer reporting agency for purposes of these Terms. If you require a consumer reporting product for any of the above purposes, you must obtain that from a licensed and compliant source. Any future enterprise or regulated-use product offered by the Company will be subject to a separate agreement with applicable compliance controls.

2.3 No Professional Advice

Nothing in the Service constitutes financial, legal, tax, investment, credit repair, or other professional advice. Service Outputs are generated by automated systems and may be incomplete, inaccurate, or not applicable to your individual circumstances. You are solely responsible for independently verifying any information and making your own financial and legal decisions. The Company strongly recommends you consult a qualified professional before making significant financial decisions.

2.5 Completeness and Accuracy

The value of Stance to you and your family depends heavily on the completeness and accuracy of the financial information you provide and authorize Stance to collect. Stance will prompt you to identify and fill gaps in your financial profile. An incomplete profile will produce assessment results that may not accurately reflect your financial health or potential. You are responsible for ensuring your profile is as complete and accurate as possible. Stance will indicate the completeness level of your assessment and flag specific gaps that may affect the accuracy of your results.

The Company does not represent or warrant that use of the Service will result in any improvement to your financial health, credit profile, or any other outcome. Results will vary based on individual circumstances, accuracy of data provided, and factors beyond the Company's control.

3. User Eligibility and Account

To access the Service, you must: (a) be at least 18 years of age; (b) be a legal resident of the United States; (c) have the legal capacity to enter into a binding agreement; and (d) have completed the Company's trial onboarding process.

THE SERVICE IS NOT DIRECTED TO MINORS. The Company does not knowingly collect personal information from individuals under the age of 18. If you are under 18, you are not permitted to access or use the Service and must not submit any personal information. By accepting these Terms or using the Service, you represent and warrant that you are at least 18 years of age. If the Company discovers or has reason to believe that a user is under 18, it will promptly suspend that user's access and take reasonable steps to delete any personal information collected from that user. If you are a parent or guardian and believe your minor child has submitted personal information to the Service, please contact the Company immediately at the address in Section 12.9.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to notify the Company immediately of any unauthorized access or breach of security. The Company is not liable for any loss arising from your failure to maintain credential security.

4. User Data; Authority to Share

4.1 Data You Provide

You may submit personal financial information, household data, and other content to the Service ("User Data"). By submitting User Data, you represent and warrant that:

The Company may suspend or terminate your access if it has reason to believe User Data was submitted without proper authorization.

4.2 License to User Data

You grant the Company a limited, non-exclusive, worldwide license to use, process, analyze, store, and display your User Data solely to: (a) provide and maintain the Service; (b) improve, test, and develop the Service and related products; (c) generate de-identified or aggregated data and analytics as described below; (d) comply with applicable law; and (e) exercise the Company's rights as set out in the Privacy Policy.

No Sale or Sharing of PII Without Explicit Permission. The Company will not sell, license, rent, or otherwise share your personally identifiable information ("PII"), personally identifiable financial information, or your Stance financial health assessment results ("FHA Results") with any third party without your explicit, affirmative consent, except as provided in Section 4.3 below or as required by applicable law.

De-Identified and Aggregated Data. The Company reserves the right to use, share, license, and commercialize data that has been de-identified or aggregated such that it cannot reasonably be used to identify you ("De-Identified Data"). De-Identified Data may be shared in aggregate form (e.g., population-level financial wellness trends) or in specific analytical segments, in either case without further notice, authorization, or obligation to you. Any third party that receives De-Identified Data from the Company is contractually prohibited from attempting to re-identify individuals from that data or combining it with other data sources for the purpose of re-identification.

4.3 Required Vendor Disclosures

Certain core features of Stance require the Company to share limited PII or financial data with third-party data and service providers (for example, credit bureau partners such as Equifax) in order to retrieve, verify, or analyze the financial information necessary to generate your assessment. By using those features of the Service, you authorize the Company to share only the minimum PII or financial data required to fulfill that specific function. Such providers are engaged under data processing or service agreements that prohibit them from using your data for any purpose beyond the contracted service.

Beyond required vendor disclosures, the Company may engage additional vetted subprocessors to host, process, support, or secure the Service. Those providers are contractually required to protect your data and are granted access only to the extent reasonably necessary to perform their services. A list of key subprocessors is available upon written request.

4.4 Feedback

If you provide the Company with suggestions, ideas, comments, or other feedback about the Service ("Feedback"), you grant the Company a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose, including product development, without obligation or compensation to you. Feedback does not include your personal data.

4.5 Trial Period; Data Retention and Transition

The trial period under these Terms is nine (9) months from the date you complete onboarding (the "Trial Period"), unless earlier terminated in accordance with Section 10. The Company may extend the Trial Period at its sole discretion with notice to you.

At the conclusion of the Trial Period, the Company intends to transition the Service to a generally available commercial product (the "Full Product"). Subject to your continued consent and acceptance of the then-current terms of service for the Full Product, your User Data — including your financial profile, assessment history, and account information — may be retained and carried forward to the Full Product to preserve continuity of your financial health record. The Company will provide you with advance notice of the transition and any material changes to data handling before the Full Product launch.

If you do not wish your data to be transitioned to the Full Product, you may request deletion of your User Data by contacting the Company at the address in Section 12.9 prior to the end of the Trial Period. Following a confirmed deletion request, the Company will delete your personally identifiable information within thirty (30) days, subject to any legal retention obligations. De-identified or aggregated data derived from your usage may be retained as permitted under Section 4.2.

5. Intellectual Property

5.1 Company Ownership

The Company and its licensors own all right, title, and interest in and to the Service, including all software, models, algorithms, scoring methodologies, workflows, interfaces, visual design, content, branding, trade secrets, analytics, documentation, and all improvements and derivative works thereof (collectively, "Company IP"). These Terms do not convey any ownership interest in Company IP to you. Your access to the Service is a limited, personal, non-transferable, revocable license to use the Service for its intended purpose during the trial period.

5.2 Restricted Conduct

You agree that you will not, directly or indirectly:

5.3 Confidentiality

"Confidential Information" means non-public information about the Service disclosed to you during the trial, including but not limited to: features, functionality, workflows, test results, pricing, documentation, performance data, screenshots, and product roadmap.

You agree to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without the Company's prior written consent; and (c) use Confidential Information solely to participate in the trial. This obligation survives termination of these Terms for a period of three (3) years.

This section does not restrict information that: (i) is or becomes publicly available through no breach by you; (ii) you independently developed without use of Confidential Information; or (iii) you are required to disclose by law, provided you give the Company prompt notice and cooperate with any effort to obtain a protective order.

6. Data Security

The Company uses reasonable administrative, technical, and organizational safeguards designed to protect User Data against unauthorized access, loss, alteration, or disclosure. However, no security measure is completely secure, and the Company cannot guarantee that User Data will not be accessed by unauthorized parties as a result of factors outside the Company's reasonable control.

In the event of a security incident affecting your data, the Company will notify you as required by applicable law.

7. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS DURING THE TRIAL PERIOD. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) SERVICE OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (D) ANY ERRORS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the maximum extent permitted by law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; SERVICE INTERRUPTION; FINANCIAL DECISIONS MADE IN RELIANCE ON SERVICE OUTPUTS; OR COST OF SUBSTITUTE SERVICES.

IN NO EVENT SHALL THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO THE COMPANY DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the limitation of liability for certain damages. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.

Assumption of Risk. By accessing and using the Service, you expressly acknowledge and accept that: (a) the Service is a pre-commercial trial product that may contain errors, inaccuracies, or incomplete functionality; (b) Service Outputs are generated by automated systems and are not guaranteed to be accurate, complete, or current; (c) any financial decisions you make in reliance on the Service or its outputs are made at your sole risk; (d) the financial data environment, your personal financial circumstances, and applicable laws may change in ways the Service does not reflect; and (e) the Company has not made and does not make any representation that the Service is fit for any particular financial purpose or decision.

Right to Revise or Discontinue. The Company reserves the right, at any time and without liability, to: (a) modify, update, suspend, or discontinue the Service or any feature thereof, in whole or in part, with or without notice; (b) change the scope, functionality, or methodology of the Service, including how financial health assessments are calculated or presented; (c) revise these Terms as described in Section 12.3; and (d) terminate the trial program at its sole discretion. Your continued use of the Service following any modification constitutes your acceptance of the revised Service. The Company's liability for any discontinuation or material change to the Service shall not exceed the amounts, if any, paid by you during the thirty (30) days preceding such change.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

The Company reserves the right, at its own expense, to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with the Company's defense of such matter.

10. Term and Termination

These Terms are effective as of the date you accept them and continue until terminated. The trial period will last for the duration communicated during onboarding, unless earlier terminated.

The Company may suspend or terminate your access to the Service at any time, with or without notice, if: (a) you breach any provision of these Terms; (b) continued access would violate applicable law; or (c) the trial program is discontinued.

You may terminate your participation at any time by ceasing use of the Service and providing written notice to the Company.

Upon termination: (a) your license to use the Service immediately ceases; (b) the Company may retain or delete your User Data in accordance with its Privacy Policy and applicable law; and (c) sections 2.2, 2.3, 5, 7, 8, 9, 10, 11, and 12 survive termination indefinitely.

11. Equitable Relief

You acknowledge that a breach of Sections 2.2, 5.2, or 5.3 (Permitted Use, Restricted Conduct, or Confidentiality) may cause irreparable harm to the Company for which monetary damages would be an inadequate remedy. The Company shall be entitled to seek injunctive or other equitable relief in any court of competent jurisdiction without the need to post a bond or prove actual damages, in addition to all other available remedies.

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute not resolved by the parties shall be brought exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction in those courts.

These Terms, together with the Company's Privacy Policy, constitute the entire agreement between you and the Company with respect to the Service and supersede all prior agreements, representations, and understandings.

12.3 Amendments

The Company may update these Terms from time to time. Material changes will be communicated to you via email or in-product notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance.

12.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

12.5 Waiver

No failure or delay by the Company in exercising any right under these Terms shall constitute a waiver of that right. Any waiver must be in writing and signed by an authorized representative of the Company.

12.6 Assignment

You may not assign or transfer your rights or obligations under these Terms without the Company's prior written consent. The Company may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

12.7 Electronic Consent

You agree that your electronic acceptance of these Terms (including clicking "I Agree" or similar action during onboarding) constitutes your legally binding signature and acceptance of these Terms to the same extent as a physical signature.

12.8 Force Majeure

The Company shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, pandemics, cyberattacks, natural disasters, governmental action, or telecommunications failures.

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (Cal. Civ. Code § 1798.100 et seq.) ("CCPA") and other California consumer protection laws. Nothing in these Terms is intended to limit, waive, or supersede any rights you may have under applicable California law to the extent such rights cannot be contractually waived.
